Microsoft provides you with access to a variety of resources on the Microsoft Language Portal (“Web Site”), including documentation, terminology and other product information (collectively the “MLP Materials”). The MLP Materials (including any updates, enhancements, new features, and/or the addition of any new Web properties to the Web Site) are subject to the Microsoft Terms of use (“TOU”) and this Microsoft Language Portal Materials License ( “License”), unless we have provided more specific terms, in which case those more specific terms will apply to the relevant item. If there is any conflict between the TOU and this License, this License will supersede the TOU. Microsoft reserves the right to update this License at any time without notice to you. The most current version of this License can be reviewed by clicking on the “Microsoft Language Portal Materials License” hypertext link located at http://www.microsoft.com/language/LicenseAgreement.aspx on our Web Site. These license terms are an agreement between Microsoft Corporation (or based on where you live, one of its affiliates) and you. Please read them.

BY USING THE MLP MATERIALS, YOU ACCEPT AND COMPLY WITH THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT USE THE MLP MATERIALS.

1. LICENSE.

a. Use Rights. Microsoft grants you a non-exclusive, nontransferable, royalty-free, license to use, copy, and distribute the MLP Materials. For any MLP Materials you distribute, you must:

  1. require distributors and external end users to agree to terms that protect it at least as much as this agreement
  2. display your valid copyright notice on your programs/documents;
  3. indemnify, defend, and hold harmless Microsoft from any claims, including attorneys’ fees, related to the distribution or use of your programs /documents; and
  4. include the following notice with distributions of the MLP Materials: “Entry from the Microsoft Language Portal. © 2018 [or applicable year] Microsoft Corporation. All rights reserved.”
  5. For the use of the Terminology API at http://api.terminology.microsoft.com/terminology.svc , you must include the following notice: “Microsoft Terminology API. © 2018 [or applicable year] Microsoft Corporation. All rights reserved.”

b. Distribution Restrictions. You may not:

  1. alter any copyright, trademark or patent notice in the MLP Materials;
  2. use Microsoft’s trademarks in your programs or documents’ names or in a way that suggests your programs or documents come from or are endorsed by Microsoft; or
  3. include MLP Materials in malicious, deceptive or unlawful programs or documents.

2. SCOPE OF LICENSE. The MLP Materials are licensed, not sold. This agreement only gives you some rights to use the MLP Materials. Microsoft reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the MLP Materials only as expressly permitted in this agreement. You may not (i) publish the MLP Materials for others to copy; or (ii) sell, rent, lease or lend the MLP Materials in whole.

3. EXPORT RESTRICTIONS. The MLP Materials are subject to United States export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the MLP Materials. These laws include restrictions on destinations, end users and end use. For additional information, see http://www.microsoft.com/exporting.

4. SUPPORT SERVICES. Because the MLP Materials are “as is,” we may not provide support services for it.

5. APPLICABLE LAW.

  • a. United States. If you acquired the MLP Materials in the United States, Washington state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of laws principles. The laws of the state where you live govern all other claims, including claims under state consumer protection laws, unfair competition laws, and in tort.
  • b. Outside the United States. If you acquired the MLP Materials in any other country, the laws of that country apply.

6. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the laws of your country. You may also have rights with respect to the party from whom you acquired the MLP Materials. This agreement does not change your rights under the laws of your country if the laws of your country do not permit it to do so.

7. DISCLAIMER OF WARRANTY. THE MLP MATERIALS ARE LICENSED “AS-IS.” YOU BEAR THE RISK OF USING IT. MICROSOFT GIVES NO EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS WHICH THIS AGREEMENT CANNOT CHANGE. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAWS, MICROSOFT EXCLUDES THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

8. LIMITATION ON AND EXCLUSION OF REMEDIES AND DAMAGES. YOU CAN RECOVER FROM MICROSOFT AND ITS SUPPLIERS ONLY DIRECT DAMAGES UP TO U.S. $5.00. YOU CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES. This limitation applies to

  • a. anything related to the services and content (including code) on third party Internet sites, or third party programs or documents; and
  • b. claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law.

It also applies even if Microsoft knew or should have known about the possibility of the damages. The above limitation or exclusion may not apply to you because your country may not allow the exclusion or limitation of incidental, consequential or other damages.

b. 再頒布の制限。 お客様は、以下を行うことはできません。

  1. MLP マテリアルにおける著作権、商標、または特許の表示を改変すること
  2. お客様のプログラムまたはドキュメントの名称の一部として、またはお客様のプログラムまたはドキュメントが Microsoft から由来したり、Microsoft が推奨するものであるかのように Microsoft の商標を使用すること
  3. 悪意のある、欺瞞的、あるいは違法なプログラムまたはドキュメントに MLP マテリアルを含めること

2. ライセンスの適用範囲。 MLP マテリアルは使用許諾されるものであり、販売されるものではありません。 この契約は、お客様に MLP マテリアルを使用する限定的な権利を付与します。 Microsoft はその他の権利をすべて留保します。 適用される法令によりこの制限を超える権利が与えられる場合を除き、お客様はこの契約で明示的に許可された方法でのみ MLP マテリアルを使用することができます。 お客様は、(i) 第三者が複製できるように MLP マテリアルを公開すること、または (ii) MLP マテリアル全体を販売、レンタル、リース、または貸与することはできません。

4. サポート サービス。 MLP マテリアルは “現状有姿で” 提供されます。そのため、Microsoft はサポート サービスを提供しない場合があります。

5. 準拠法。

  • a. 米国。 お客様が MLP マテリアルを米国内で入手された場合、抵触法にかかわらず、この契約の解釈および契約違反についての請求は、ワシントン州法に準拠するものとします。州消費者保護法および公正取引法に基づく請求、および不法行為における請求を含むその他の請求については、お客様が居住する州の法律に準拠します。
  • b. 米国以外。 お客様が MLP マテリアルをそれ以外の国で入手された場合、その国の法律に準拠するものとします。

6. 法的効力。 この契約は、特定の法的な権利を規定します。 お客様は、お客様の国の法律に基づき、他の権利を有する場合があります。 また、お客様は、MLP マテリアルの入手先である関係者に関する権利を有する場合もあります。 この契約は、お客様の国の法律により認められない限り、お客様の国の法律に基づくお客様の権利を変更しないものとします。

7. 保証の免責。 MLP マテリアルは、”現状有姿のままで” 使用許諾されます。 その使用に伴う危険は、お客様が負うものとします。 Microsoft は、は、明示的な保証または条件を一切提供しません。 お客様は、この契約では変更できない、お客様の地域の法律に基づく追加の消費者の権利を有する場合があります。 お客様の地域の法律に基づいて認められる限り、Microsoft は、商品性、特定目的に対する適合性、および不侵害に関する黙示的な保証を除外します。

8. 救済および損害の制限および除外。お客様は、5 米ドルを上限とする直接損害のみ、Microsoft およびそのサプライヤーから回復できます。お客様は、派生的損害、逸失利益、特別損害、間接損害、および付随的損害を含むその他の損害は一切回復できません。 この制限は、以下に適用されるものとします。

  • a. 第三者のインターネットのサイト上のサービスおよびコンテンツ (コードを含みます)、または第三者のプログラムまたはドキュメントに関連したあらゆる事項
  • b. 契約違反、保証または条件違反、厳格責任、過失、または適用される法律により認められている範囲における不法行為に関する請求

これは、Microsoft が損害の可能性を認識していたか、または認識し得た場合にも適用されます。 お客様の国で付随的、派生的またはその他の損害の除外または制限が認められない場合、上記の制限または除外がお客様に適用されない場合があります。
